Master Service Agreement


Effective Date: January 1, 2024

1. Service Description

GapZer0™ (“Company,” “we,” or “us”) provides elite concierge mentorship services (“Services”) to clients (“Mentee,” “you,” or “your”) across Healthcare, Technology, Marketing, Creative, and Media industries. Our Services include strategic career advisory, professional development planning, and executive coaching.

2. Nature of Services

The Services provided are advisory and educational in nature. GapZer0™ mentors serve as strategic advisors and coaches, not as:

  • Licensed attorneys providing legal advice
  • Certified financial planners or investment advisors
  • Licensed medical professionals providing medical advice
  • Employment agencies or recruiters
  • Business partners or co-founders

3. Engagement Terms

Services are provided through structured engagements including:

  • 360° Career Audit: Comprehensive assessment of your professional position
  • Strategic Development Blueprint™: 12-month customized roadmap
  • Concierge Execution Support: On-demand advisory during high-stakes moments

4. Professional Responsibility

While our mentors bring extensive professional experience and expertise, you retain full responsibility for:

  • All career decisions and strategic choices
  • Implementation of recommended strategies
  • Professional conduct and ethical compliance
  • Legal, financial, and regulatory obligations in your industry

5. No Guarantee of Outcomes

GapZer0™ does not and cannot guarantee specific outcomes including but not limited to:

  • Job placements, promotions, or salary increases
  • Business success, revenue targets, or profitability
  • Fundraising success or investor commitments
  • Client acquisition or partnership agreements
  • Media exposure or creative project success

Results depend on individual effort, market conditions, timing, and factors beyond our control.

6. Payment Terms

Services are provided on a fee-for-service basis as outlined in individual engagement letters. Payment terms include:

  • Initial consultation fee (non-refundable)
  • Engagement retainer based on scope and duration
  • Payment due prior to service commencement
  • Accepted payment methods: bank transfer, credit card, cryptocurrency (select cases)

7. Confidentiality

All mentorship communications are protected by our Sacred Space doctrine and confidentiality agreement, except where disclosure is required by law.

8. Termination

Either party may terminate the engagement with 30 days written notice. Fees for services already provided are non-refundable.

9. Limitation of Liability

To the maximum extent permitted by law, GapZer0™’s liability shall not exceed the total fees paid for services. We are not liable for indirect, consequential, or punitive damages.

10. Governing Law

This Agreement is governed by the laws of [Jurisdiction] without regard to conflict of law principles.

11. Entire Agreement

This MSA, together with individual engagement letters and our policies, constitutes the entire agreement between parties.

By engaging our services, you acknowledge that you have read, understood, and agree to be bound by this Master Service Agreement.

4. Not Employment Services

GapZer0™ is not an employment agency, recruiter, or staffing firm. We do not:

5. Not Business Partners or Co-Founders

Mentorship relationships are advisory only. GapZer0™ mentors are not:

  • Business partners or co-founders in your ventures

No Guaranteed Outcomes

Professional mentorship enhances your strategic thinking and decision-making capabilities,
but we cannot and do not guarantee specific outcomes, including:

  • Career advancement: Promotions, title changes, or increased responsibilities
  • Financial results: Salary increases, business revenue, or profitability
  • Fundraising success: Investment commitments, grant awards, or funding rounds
  • Business growth: Customer acquisition, market share, or valuation increases
  • Creative success: Project acceptance, awards, or audience reach
  • Network outcomes: Introductions, partnerships, or collaboration agreements

Mentors provide equal quality service regardless of:

7. Intellectual Property & Attribution

7.1 Mentee IP Protection

  • All mentee business ideas remain mentee property
  • No unauthorized use of mentee’s concepts or strategies

  • Respect for mentee’s creative work and innovations

7.2 Framework & Tool Licensing

  • Clear communication about proprietary GapZer0™ frameworks
  • Limited license for mentee use of strategic tools
  • No unauthorized sharing of proprietary methodologies
  • Attribution when mentee case studies are used (with permission)

8. Termination & Transition

8.1 Appropriate Endings

  • Clear communication about engagement timeline
  • Proactive discussion of transition plans
  • No abrupt abandonment of mentees
  • Referral support when engagement ends
  • Archival of materials for mentee access

8.2 When to Refer Out

Mentors ethically refer mentees when:

  • Challenges exceed mentor expertise
  • Personality mismatch impedes progress
  • Conflict of interest arises
  • Mental health or crisis intervention is needed
  • Legal, medical, or financial specialist is required

9. Ethical Violation Reporting

9.1 Accountability System

  • All GapZer0™ stakeholders can report ethical concerns
  • Confidential reporting mechanism: ethics@gapzero.com
  • No retaliation for good-faith reports
  • Prompt investigation of all complaints
  • Transparent resolution process

9.2 Consequences

Ethical violations may result in:

  • Removal from GapZer0™ network
  • Legal action if warranted

10. Ongoing Ethical Commitment

Every GapZer0™ Mentor Pledges:

I will prioritize mentee wellbeing, protect confidentiality as sacred, maintain professional boundaries, and operate with transparency and integrity. I will continuously develop my capabilities, acknowledge my limitations, and hold myself accountable to this Code of Conduct. I understand that earning mentee trust is a privilege that requires constant ethical vigilance.”
